Terms of Service

These terms are the agreement between you and AiroxLab LLC for using TallyWeek. They are written in plain language. If anything is unclear, ask us before you rely on it.

1. The service

TallyWeek is work-management software: boards, items, automations, public forms, dashboards, a REST API and an MCP server, all inside a workspace you control. It is provided by AiroxLab LLC, a limited liability company registered in Wyoming, USA (we, us). By creating an account or using TallyWeek you agree to these terms, our Privacy Policy and our Acceptable Use Policy.

If you use TallyWeek on behalf of a company or other organisation, you confirm you have authority to bind it, and "you" means that organisation.

2. Accounts and workspaces

  • You must be at least 16 years old and give accurate account details.
  • You are responsible for keeping your password and any API keys confidential, and for everything done through your account.
  • A workspace is owned by the person who created it, or by whoever the owner later transfers it to. The owner and admins decide who joins, what role each person holds and which boards are private.
  • Workspace roles are Owner, Admin, Member and Guest. Board roles are Owner, Editor, Contributor and Viewer. What each role can do is set in the workspace permissions matrix and enforced by the application.
  • Tell us straight away at info@airoxlab.com if you think your account has been used without permission.

3. Plans, seats and billing

TallyWeek is sold per seat. A seat is one workspace member. Guests do not use a seat. The current plans are on the pricing page:

  • Free: up to 3 members, no charge, no card required.
  • Pro: $8 per member per month billed monthly, or $6 per member per month billed yearly.
  • Business: priced and invoiced under a separate written agreement.

Paid plans are billed in advance, in US dollars, by AiroxLab LLC through the payment provider named on your receipt. Card details are collected and stored by that provider, never by TallyWeek. Prices exclude any taxes that apply in your location; where we must collect tax, it is added to the charge.

Seat changes. When you add a member during a billing period, the extra seat is charged for the remainder of that period at a prorated amount and the new seat count applies from the next renewal. When you remove a member, the lower count applies from the next renewal. We do not refund unused portions of a period for removed seats.

Failed payments. If a renewal payment fails we email you and retry. If payment still has not gone through 14 days after the renewal date, the workspace drops to the Free plan. Nothing is deleted: members beyond the Free limit become read-only until the owner chooses who stays, and private boards and API keys are kept but frozen until a paid plan is active again.

Price changes.We may change prices with at least 30 days' notice by email. A change takes effect at your next renewal after the notice period. If you do not agree, cancel before that renewal.

4. Cancellation

You can cancel a paid plan at any time from Workspace settings, or by emailing or calling us. Cancellation takes effect at the end of the period you have already paid for. You keep the paid features until then, and the workspace then returns to the Free plan with the downgrade behaviour described above. Your data stays in place.

5. Refunds

Refunds are covered by our Refund and Cancellation Policy. In short: no partial refunds for a period already started, a full refund of your first paid charge if you ask within 14 days, and full refunds of duplicate or mistaken charges.

6. Your data and content

  • You own it. Everything you and your workspace members put into TallyWeek (items, updates, files, form submissions, board structures) is your content. We claim no ownership of it.
  • Licence to host. You give us a limited licence to store, process, transmit and display your content only as needed to run the service for you, to keep it secure and to comply with the law. We do not use your content to train models, for advertising, or to sell to anyone.
  • Export any time. You can pull all of your workspace data at any time through the REST API, on any plan where API keys are available, or by asking us for an export.
  • Deletion. When a workspace owner asks us to delete a workspace, or an account holder asks us to delete their account, we delete the data within 30 days of the request, except for records we must keep by law (for example invoices).
  • Public forms. When you publish a form, you are responsible for what you ask the public and for handling their submissions lawfully.

7. Acceptable use

You must follow the Acceptable Use Policy. Among other things it prohibits illegal content, harassment, malware, spam through forms or notifications, scraping, reselling access and impersonation. We may suspend or remove content or accounts that break it.

8. API and MCP terms

  • API keys are created in Workspace settings by people whose role allows it. A key acts as one member and is limited by the scopes you give it. Keep keys secret and rotate them if they leak.
  • We may apply rate limits or other fair-use limits to protect the service. If you need higher limits, contact us.
  • You may not use the API to circumvent plan limits, to scrape other people's workspaces, or to build a service that resells TallyWeek access.
  • We may revoke any key, and you may revoke your own keys at any time. Revoked keys stop working immediately.
  • The API may change. We aim to give notice of breaking changes on the changelog.

9. Availability and support

We work to keep TallyWeek available and to fix problems quickly, but we do not guarantee any level of uptime and there is no service-level agreement on the Free or Pro plans. Maintenance, provider outages and events outside our control can interrupt the service. Support is by email and phone during our support hours, 9am–9pm US Eastern, Monday to Saturday. We reply within 1 business day.

10. Warranty disclaimer

TallyWeekis provided "as is" and "as available". To the fullest extent the law allows, we disclaim all warranties, express or implied, including fitness for a particular purpose, merchantability and non-infringement. We do not warrant that the service will be error-free, uninterrupted or that it will meet your needs.

11. Limitation of liability

To the fullest extent the law allows, AiroxLab LLC is not liable for indirect, incidental, special, consequential or punitive damages, or for lost profits, revenue, data or goodwill, arising from your use of TallyWeek. Our total liability for all claims under these terms is limited to the fees you paid us in the three months before the event giving rise to the claim. If you are on the Free plan, that amount is zero. Some jurisdictions do not allow certain limits, in which case these limits apply to the extent permitted.

12. Termination

You can close your account or delete your workspace at any time. We may suspend or terminate access if you materially breach these terms or the Acceptable Use Policy, if required by law, or if your paid plan remains unpaid after the 14-day period above (in which case the workspace drops to Free rather than being closed). Where practical we give notice and a chance to fix the problem first. On termination you can still request an export of your data for 30 days unless the law prevents it.

13. Governing law

These terms are governed by the laws of the State of Wyoming, United States, without regard to conflict-of-law rules. Before starting any legal claim, please use our complaints process; most issues are resolved there.

14. Changes to these terms

We may update these terms. For material changes we email workspace owners at least 14 days before the new terms take effect. Continuing to use TallyWeek after that date means you accept them. The date at the top of this page shows when the terms last changed.
